Terms of Service (Including Software Licensing)

These Terms of Service (“Terms”) govern your access to and use of formulaML services and software.

Acceptance of Terms

By accessing or using formulaML, you agree to these Terms.

User Responsibilities

Account Security

  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized use of your account
  • You are responsible for all activities that occur under your account

Acceptable Use

You agree NOT to:

  • Use the service for illegal activities or to violate any laws
  • Attempt to gain unauthorized access to our systems or other users’ accounts
  • Interfere with or disrupt the service or servers
  • Use the service to process data you don’t have the right to use
  • Share your account credentials with others
  • Reverse engineer, decompile, or attempt to extract source code

Subscription and Payment

Billing

  • Subscription fees are billed in advance on a recurring basis
  • All payments are processed securely through LemonSqueezy
  • Prices are subject to change with 30 days’ notice

Cancellation and Refunds

  • You may cancel your subscription at any time from your account settings
  • Cancellation takes effect at the end of your current billing period
  • Refunds are handled according to our refund policy available during checkout
  • No refunds for partial months or unused portions of your subscription

Service Availability

Service Changes

  • We may modify, suspend, or discontinue any part of the service with reasonable notice
  • We will provide at least 30 days’ notice for significant changes that affect functionality
  • We may perform maintenance that temporarily interrupts service availability

Data Backup

  • You are responsible for backing up your Excel files and data
  • We recommend saving your work frequently and maintaining local backups

Software License

License Grant

formulaML grants you a limited, non-exclusive, non-transferable, revocable license to use our Excel add-in software subject to these terms.

License Restrictions

  • Use only for personal or internal business purposes
  • No redistribution, sublicensing, or commercial resale
  • No reverse engineering or attempts to extract source code
  • No removal of copyright notices or proprietary markings

License Termination

Your license terminates automatically if you violate these terms or upon termination of your account.

Intellectual Property

All rights, title, and interests in formulaML software, algorithms, documentation, trademarks, and related content remain exclusively with formulaML and are protected by intellectual property laws.

Privacy and Data

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

Termination

By You

You may terminate your account at any time by canceling your subscription.

By Us

We may terminate or suspend your account if you:

  • Violate these Terms of Service
  • Engage in fraudulent or illegal activities
  • Fail to pay subscription fees

Effect of Termination

Upon termination:

  • Your access to the service will cease immediately
  • You must stop using the software and delete all copies
  • We may delete your account data after a reasonable period

Disclaimer and Limitation of Liability

THE SERVICE AND SOFTWARE ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORMULAML SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

Maximum Liability

Our total liability to you for all claims shall not exceed the amount you paid us in the 12 months preceding the claim.

Informal Resolution

Before filing any formal dispute, please contact us at support@formulaml.com to try to resolve the issue informally.

Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

Jurisdiction

Any disputes will be resolved in the courts of competent jurisdiction in the United States.

Changes to Terms

We may revise these Terms occasionally. Changes will be effective immediately upon posting to our website.
